Release Of Liability Agreement
This Release of Liability Agreement ("Agreement") is entered into between PASSPORT BROS LLC ("Company") and any individual or entity participating in or engaging with Company's activities, services, products, or events ("Participant").
1. Assumption of Risk
Participant acknowledges that their voluntary participation in any activity, event, or use of any product or service provided by the Company may involve inherent risks, including, but not limited to, physical injury, property damage, emotional distress, or financial loss. Participant voluntarily assumes all risks associated with their participation.
2. Release and Waiver
Participant hereby releases, discharges, and holds harmless PASSPORT BROS LLC, its officers, directors, employees, agents, representatives, and affiliates from any and all claims, liabilities, demands, actions, causes of action, costs, and expenses, whether at law or in equity, arising out of or in connection with their participation in Company activities, services, products, or events.
3. Indemnification
Participant agrees to indemnify and hold PASSPORT BROS LLC harmless from any and all claims, damages, losses, liabilities, costs, and expenses, including attorneys' fees, arising out of or in connection with their actions, omissions, or participation that breach this Agreement or infringe upon any rights of third parties.
4. Intellectual Property
Participant acknowledges and agrees that all intellectual property rights related to PASSPORT BROS LLC's NFT’s, artwork, characters, merchandise, or any other materials provided by the Company remain the sole property of PASSPORT BROS LLC. Participant shall not reproduce, distribute, or use such intellectual property without prior written consent from the Company.
5. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which PASSPORT BROS LLC operates. Any legal actions or proceedings arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts within that jurisdiction.
6. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
By participating in any PASSPORT BROS LLC activity, service, product, or event, Participant acknowledges that they have read this Agreement, understand its terms, and voluntarily agree to be bound by its provisions.
